1. Agreement and eligibility

These Terms are a binding agreement between the person or entity purchasing or using Vissi (“Customer”) and Vissi Inc., operating as Vissi (“Vissi”) for the websites, platform, wallet-pass issuance and related services (“Services”). The exact contracting entity and notice address must be confirmed in the order form or invoice before production use. You must be at least 18 and authorized to bind the Customer.

Creating an account, accepting an order, or using the Services means you accept these Terms, the Privacy Policy, DPA, Acceptable Use Policy and any order form. Mandatory consumer rights prevail over inconsistent language.

2. Service and third-party platforms

Vissi lets Customers create and manage loyalty, membership, coupon, cashback-display and event passes for Apple Wallet and Google Wallet. Apple, Google, Firebase, Stripe and other integrations are third-party services governed by their own terms. Vissi does not control their availability, review, grouping, device behavior or policy decisions.

Unless a dedicated issuer arrangement states otherwise, Vissi controls the certificates, keys and issuer identities used to sign passes and may rotate, suspend or revoke them to secure the platform, comply with law or platform rules, address nonpayment or stop harm. Passes from different Customers may be grouped by wallet providers.

3. Not a debit, credit, or payment card

A Vissi pass is not a debit card, credit card, bank account, stored-value account, gift card or general-purpose payment instrument. It cannot access a bank account, extend credit, hold deposits or initiate card-network payments. Vissi does not receive or transmit money between a Customer and an end user and is not a bank, lender, money transmitter, payment network or financial adviser.

Points, visits, displayed cashback and membership status are records of contractual benefits offered solely by the issuing Customer. They have no cash value, are not transferable and are not redeemable against Vissi unless the Customer's lawful program terms expressly provide otherwise. The Customer is solely responsible for funding and honoring all rewards, refunds and consumer claims.

4. Accounts and security

You must provide accurate information, protect credentials, use least privilege for staff, and promptly report unauthorized access. You are responsible for authorized users, pass content and activity under your account. You may not share accounts, bypass limits, probe security, use exposed credentials, or access another Customer's data. Vissi may require verification, multi-factor controls or credential resets.

5. Customer legal responsibilities

The Customer is the merchant and program operator. It alone determines eligibility, reward value, expiration, redemption, taxes, advertising, official rules, accessibility, refunds and consumer service. It must honor advertised benefits and comply with consumer, promotion, anti-discrimination, marketing, tax, employment and sector-specific law.

The Customer warrants that all content and data are accurate and lawfully obtained; that it has provided an applicable privacy notice and lawful basis before entering or importing end-user data; and that it will not collect sensitive data or children's data without Vissi's written approval and all required safeguards. A Customer may not state or imply that a pass is a bank/payment card or that Apple, Google or Vissi sponsors its business or guarantees rewards.

6. Data protection

As between the parties, Customer owns Customer Data and instructs Vissi to process it to provide, secure and support the Services. Customer grants Vissi a limited license to host, copy, transform, transmit and display Customer Data for those purposes. Each party will comply with the Privacy Policy and DPA. Customer is responsible for responding to end-user requests and for its retention schedule; Vissi will reasonably assist as processor.

Vissi may generate aggregated or de-identified statistics that cannot reasonably identify a person or Customer. Vissi will not sell Customer Data or use it to train a general-purpose AI model. Chatbot prompts sent voluntarily are processed as described in the Privacy Policy.

7. Fees, subscriptions and taxes

Fees, currency, limits, billing cycle and renewal are shown at checkout or in an order. Subscriptions renew until cancelled. Cancellation stops future renewal but ordinarily does not refund the current period. Customer authorizes Stripe to charge the selected method and must keep billing details current. Prices may change prospectively with notice. Customer pays applicable taxes except taxes on Vissi's net income. Refunds and withdrawal rights are governed by the Refund Policy and mandatory law.

8. Intellectual property and feedback

Vissi and its licensors own the Services, software, templates, documentation and marks. Subject to payment and compliance, Vissi grants a limited, revocable, non-exclusive, non-transferable right to use the Services internally during the term. Customer retains its content and marks and warrants it has necessary rights. Feedback may be used without restriction or compensation, without identifying confidential information.

9. Changes, beta, suspension and termination

Features may change and beta features may be incomplete, unstable or discontinued. Vissi does not promise uninterrupted operation and may perform maintenance. Material reductions to paid core functionality will receive reasonable notice when practicable.

Vissi may suspend access or issuance immediately for security risk, illegal or deceptive activity, platform-policy violation, nonpayment, abuse, sanctions or credible harm; otherwise it will give reasonable notice and opportunity to cure when practicable. Customer may cancel through settings or support. After termination, access ends and passes may stop updating or be revoked. Data export/deletion follows the DPA and law.

10. Warranties and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. VISSI DISCLAIMS IMPLIED WARRANTIES, BUT DOES NOT EXCLUDE WARRANTIES OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR LOST PROFITS. VISSI'S AGGREGATE LIABILITY IS LIMITED TO FEES PAID FOR THE AFFECTED SERVICES IN THE 12 MONTHS BEFORE THE EVENT. THE LIMIT DOES NOT APPLY WHERE PROHIBITED, OR TO FRAUD, WILLFUL MISCONDUCT, DEATH/PERSONAL INJURY CAUSED BY NEGLIGENCE, OR LIABILITY THAT LAW MAKES UNLIMITED.

11. Indemnity

To the extent permitted by law, Customer will defend and indemnify Vissi from third-party claims arising from Customer content, program promises or rewards, unlawful data collection or marketing, infringement, or Customer's breach. Vissi will promptly notify Customer and permit control of the defense, but no settlement may admit Vissi fault or impose obligations on Vissi without consent. This does not reduce Vissi's responsibility for its own breach.

12. Governing law and general terms

Mexican federal law governs, without regard to conflicts rules. Subject to mandatory consumer venue and rights, disputes will be submitted to competent courts at Vissi's confirmed legal domicile. The parties will first attempt good-faith resolution for 30 days. Nothing prevents urgent injunctive relief or a privacy/consumer complaint to a competent authority.

Neither party may assign the agreement without consent, except with a merger or sale of substantially all assets. Customer may not assign to a competitor or sanctioned party. Force majeure excuses delay outside reasonable control. Notices may be electronic. If a term is unenforceable it will be narrowed and the remainder continues. No waiver is continuing. These Terms and incorporated documents are the entire agreement. Effective/version: July 16, 2026 / 2026-07-16.
